GPLClub Affiliate Agreement

As an authorized affiliate (Affiliate) of GPLClub, you agree to comply with the terms and conditions contained in this Agreement (Agreement). Please read the entire Agreement carefully before registering and promoting GPLClub as an Affiliate.

Your participation in the Program has the sole purpose of legally advertising our website to receive a commission for memberships and products purchased by people referred to GPLClub through your own website or personal referrals.

By enrolling in the GPLClub Affiliate Program (Program), you indicate your acceptance of this Agreement and its terms and conditions.

Approval or Rejection of Application

We reserve the right to approve or reject ANY affiliate application at our exclusive and absolute discretion. You will have no legal recourse against us in case of rejection of your application to the Affiliate Program.

Commissions

Commissions will be paid once a month and the minimum payment amount is 30 USD. For an Affiliate to receive a commission, the referred account must remain active for a minimum of 31 days.

You cannot refer yourself, and you will not receive commissions for your own accounts.

Payments will only be sent for transactions that have been successfully completed. Transactions resulting in chargebacks or refunds will not be paid.

Termination

Your application and status as an affiliate in the Program may be suspended or terminated for any of the following reasons:

• Inappropriate advertising (false claims, misleading links, etc.).
• Spamming (mass mailing, mass posting in newsgroups, etc.).
• Advertising on sites that contain or promote illegal activities.
• Failure to disclose the affiliate relationship in any promotion that qualifies as an endorsement under the current Federal Trade Commission (FTC) rules and regulations or applicable state laws.
• Violation of intellectual property rights. GPLClub reserves the right to require license agreements from those who use GPLClub trademarks to protect our intellectual property rights.
• Offering refunds, coupons, or other forms of compensation from your affiliate commission as an incentive. However, adding bonuses or bundling other products with GPLClub is permitted.
• Self-referrals, fraudulent transactions, or suspicion of fraud by the Affiliate.

In addition to the above, GPLClub reserves the right to cancel any Affiliate account at any time, for violations of this Agreement or without any reason.

Affiliate Links

You may use graphic and text links on both your website and within your emails. You may also advertise the GPLClub site in online and offline classified ads, magazines, and newspapers.

You may use the graphics and text provided by us, or you may create your own, as long as they are considered appropriate under the established conditions and do not violate the rules in the Termination section.

Coupon and Offer Sites

GPLClub occasionally offers coupons to selected affiliates and subscribers to our newsletter. If you have not been pre-approved or assigned a branded coupon, you may not promote the coupon. Below are the terms applicable to any affiliate wishing to promote our products in connection with an offer or coupon:

• Affiliates may not use misleading text in affiliate links, buttons, or images that imply there are offers other than those specifically authorized for the affiliate.
• Affiliates may not bid on terms such as “GPLClub Coupons”, “GPLClub Discounts”, or other phrases that imply the existence of coupons.
• Affiliates may not generate pop-ups, pop-unders, iframes, frames, or other visible or invisible actions that set affiliate cookies, unless the user has expressed a clear and explicit interest in activating a specific savings by clicking on a clearly marked link, button, or image for that particular coupon or offer. The link must direct the visitor to the merchant’s site.
• The user must be able to see the information and details of the coupon/offer/savings before an affiliate cookie is set (for example, “click here to view coupons and open a window to the merchant’s site” is NOT allowed).
• Affiliate sites cannot contain phrases such as “Click to view offer/coupon” or any variation of this when there are no coupons or offers available and the click simply opens the merchant’s site or sets a cookie. Affiliates who use such text on the merchant’s landing page will be immediately removed from the program.

Pay-Per-Click (PPC) Policy

PPC bidding is not allowed without prior written permission.

Liability

GPLClub will not be liable for indirect or incidental damages (loss of revenue, commissions) due to affiliate tracking failures, loss of database files, or any results of intentional damage to the Program and/or our websites.

We make no express or implied warranties with respect to the Program and/or the memberships or products sold by GPLClub. We do not guarantee that the operation of the Program and/or our websites will be error-free, and we will not be liable for any interruptions or errors.

Duration of Agreement

The duration of this Agreement begins upon your acceptance into the Program and will end when your Affiliate Account is terminated.

We reserve the right to modify the terms and conditions of this Agreement at any time. If any modification to the terms and conditions is not acceptable to you, your only option is to terminate your Affiliate Account. Your continued participation in the Program will constitute your acceptance of any change.

Indemnification

The Affiliate agrees to indemnify and hold harmless GPLClub and its affiliated and subsidiary companies, officers, directors, employees, licensees, successors, and assigns, including those authorized by GPLClub to transmit and distribute materials, from any and all liability, damages, fines, judgments, claims, costs, losses, and expenses (including reasonable legal fees) arising from any claim related to this Agreement due to negligence, misrepresentation, failure to disclose, or intentional misconduct of the Affiliate.

Electronic Signature

The Agreement is an electronic contract that sets forth the legally binding terms of your participation in the GPLClub affiliate program. You indicate your acceptance of this Agreement and all of the terms and conditions contained or referenced in it by completing the GPLClub application process. This action creates an electronic signature that has the same legal force and effect as a handwritten signature.
